Tayzma Technologies – Terms of Service

1. Introduction
Welcome to Tayzma Technologies (“Tayzma,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, platforms, APIs, mobile applications, software, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms and to our Privacy Policy.
If you are using the Services on behalf of a business, government entity, high-profile individual, or organization, you represent that you have authority to enter into these Terms.
2. Global Compliance Statement
We operate primarily under U.S. law (State of Ohio), but we also serve users and clients in regions including:
- Nigeria, Ghana (West Africa)
- Qatar, Saudi Arabia, UAE (GCC / Middle East)
- India (DPDP Act compliance consideration)
- China (PIPL considerations)
- Russia (local data laws awareness)
- Canada (PIPEDA)
- European Union (GDPR)
While U.S./Ohio law governs these Terms, Tayzma aims to apply reasonable privacy, security, and data-handling practices aligned with local legal expectations in each region above.
3. Eligibility
You may use the Services only if you:
- Are legally eligible in your jurisdiction;
- Are not restricted under export control or sanctions laws (U.S., EU, UN, OFAC, etc.);
- Are at least 18 years old.
4. Services Provided
Tayzma provides a wide range of digital and technical services, including:
- Custom software + enterprise systems
- Web and mobile application development
- AI-powered automation + intelligent digital solutions
- Cybersecurity systems and high-security software implementation
- Enterprise software license purchasing + resale advisory
- Digital marketing, SEO, GEO, AEO, AI marketing solutions
- Private and government technology consulting
Individual services may be further defined in proposals, order forms, contracts, or statements of work (“Order Documents”).
5. Account Responsibilities
You must:
- Provide accurate information
- Keep login credentials secure
- Not share accounts without authorization
You are responsible for all activity under your account unless caused by Tayzma negligence.
6. Acceptable Use
You may not:
- Use the Services for unlawful surveillance or activities banned in your jurisdiction.
- Attack Tayzma systems (DDoS, malware, reverse engineering, etc.)
- Send prohibited, harmful, extremist, violent, or illegal content.
- Engage in activity violating U.S. or international sanctions/control laws.
- Access services for competitive analysis beyond permissible use.
We reserve the right to suspend or terminate accounts for violations.
7. Intellectual Property
All Tayzma software, code, designs, documentation, templates, security systems, and proprietary materials (“Tayzma IP”) remain exclusively ours.
You receive a limited, revocable license to use Tayzma IP for your approved business purpose.
8. Data Ownership
- You retain ownership of “Customer Data.”
- Tayzma may process Customer Data to provide the Services, improve functionality, and comply with law.
9. Global Data Transfers
By using our Services, you acknowledge and consent that your data may be processed in:
- The United States (primary location)
- Other regions where we or our partners operate
We implement reasonable safeguards when transferring data across borders, consistent with GDPR, PIPEDA, DPDP, and other relevant frameworks where reasonably applicable.
10. Third-Party Vendors
We may use third-party vendors, including but not limited to:
- Stripe (payments)
- Hosting partners
- Cloud infrastructure
- Security vendors
- Data analytics solutions
Their terms may apply to your use of integrated features.
11. Disclaimers (Global Standard)
The Services are provided “AS IS” and “AS AVAILABLE,” without warranties.
We do not guarantee uninterrupted service or error-free operation, and we disclaim liability for:
- Data loss
- Security breaches not caused by Tayzma negligence
- Third-party failures
- Regional regulatory limitations
12. Limitation of Liability
To the fullest extent permitted by law:
Tayzma's total liability is capped at the total fees paid by you in the past 12 months, or USD $1,000, whichever is greater.
Some countries/regions may limit liability restrictions; where that occurs, the minimum legally allowed protection applies.
13. Indemnification
You agree to indemnify Tayzma for claims arising from:
- Your misuse of the Services
- Your violation of laws in your jurisdiction
- Your uploaded content
- Your unauthorized surveillance or monitoring activities
14. Governing Law and Disputes
These Terms are governed by the laws of:
The State of Ohio, United States of America,
without regard to conflict-of-laws principles.
All disputes shall be resolved by binding arbitration or Ohio courts (Hamilton County) unless prohibited by local law.
Users in the EU, Canada, and certain jurisdictions may have additional statutory rights that supersede this section.
