API Terms of Use

These API Terms of Use (“API Terms”) govern access to and use of any application programming interface, software development kit, developer credential, integration endpoint, documentation, sample code, webhook, or related developer technology made available by Tayzma Technologies LLC (“Tayzma,” “we,” “us,” or “our”).
These API Terms apply only where Tayzma provides or authorizes API or integration access.
Use of an API may also be governed by a separate agreement, Order Document, developer agreement, or statement of work. If a separately executed agreement conflicts with these API Terms, that agreement controls with respect to the applicable API access.
1. Authorization
Subject to these API Terms and any applicable agreement, Tayzma grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the applicable API solely for the authorized purpose.
No ownership rights are transferred.
2. API Credentials
API keys, tokens, passwords, certificates, and other credentials must be protected from unauthorized access.
You may not:
- Publish or publicly disclose credentials;
- Sell or transfer credentials;
- Permit unauthorized parties to use your credentials;
- Circumvent authentication mechanisms; or
- Use credentials belonging to another customer or user without authorization.
You must notify Tayzma promptly if you reasonably believe credentials have been compromised.
3. Acceptable Use
You may not use a Tayzma API to:
- Violate applicable law or regulation;
- Circumvent security or access controls;
- Introduce malware or malicious code;
- Conduct denial-of-service attacks;
- Probe, scan, or test vulnerabilities without written authorization;
- Reverse engineer protected technology except where expressly permitted by law;
- Scrape or extract data beyond authorized API functionality;
- Circumvent rate limits;
- Misrepresent the source or ownership of data;
- Infringe intellectual-property or privacy rights;
- Facilitate fraud, abuse, unauthorized monitoring, or other unlawful activity; or
- Access restricted technology, data, systems, or functionality without authorization.
4. Security
You must maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the API and data accessed.
Where appropriate, safeguards should include secure credential management, encryption in transit, access controls, logging, vulnerability management, and appropriate incident-response procedures.
5. Privacy and Data Protection
You are responsible for ensuring that your collection, processing, storage, disclosure, and use of personal information obtained through a Tayzma API has an appropriate legal basis and complies with applicable privacy and data-protection requirements.
You must provide required notices and obtain required consents or authorizations.
You may not retain API-derived personal information longer than reasonably necessary for the authorized purpose unless applicable law requires longer retention.
6. Customer and Third-Party Data
You acquire no ownership interest in Tayzma data, customer data, or third-party data merely by accessing it through an API.
Data accessed through an API may be used only for the purpose authorized by Tayzma and the applicable customer or data owner.
7. Specialized and Restricted Technology
Access to certain APIs, integrations, software, data, security technologies, or specialized technology may require additional authorization.
Where applicable, access may be conditioned upon:
- Vendor or manufacturer approval;
- Customer verification;
- End-user and end-use verification;
- Sanctions screening;
- Export-control review;
- Geographic restrictions;
- Government authorization; and
- Other legal, regulatory, contractual, or security requirements.
Tayzma may deny or terminate access when these requirements are not satisfied.
8. Rate Limits and Technical Restrictions
Tayzma may establish request limits, storage limits, concurrency limits, authentication requirements, or other technical restrictions.
You may not circumvent or attempt to circumvent those controls.
9. Monitoring
To protect our systems, customers, and partners, Tayzma may monitor API usage for security, performance, fraud prevention, compliance, capacity planning, and enforcement of these API Terms, subject to applicable law.
10. Changes and Availability
APIs may evolve over time.
Tayzma may add, modify, replace, throttle, deprecate, suspend, or discontinue APIs or individual endpoints.
Where commercially reasonable, Tayzma may provide advance notice of material changes to contracted API services. Availability commitments apply only where expressly included in a written service-level agreement.
11. Intellectual Property
Tayzma and its licensors retain all rights in Tayzma APIs, software, documentation, interfaces, trademarks, technology, and related intellectual property.
Except for the limited rights expressly granted under these API Terms, no rights are granted by implication, estoppel, or otherwise.
12. Third-Party Services
APIs may connect to third-party services. Tayzma is not responsible for the continued availability, functionality, security, or policies of third-party services outside Tayzma's control.
Use of those services may be subject to separate third-party terms.
13. Suspension and Termination
Tayzma may suspend or terminate API access where reasonably necessary because of:
- Security risk;
- Unauthorized access;
- Suspected fraud or abuse;
- Non-payment;
- Excessive or harmful usage;
- Violation of these API Terms;
- Vendor or manufacturer restrictions;
- Sanctions or export-control concerns; or
- Applicable legal or regulatory requirements.
14. Disclaimer
Unless expressly provided in a separate written agreement, APIs are provided “AS IS” and “AS AVAILABLE.”
Tayzma does not guarantee that an API will be uninterrupted, error-free, permanently available, or compatible with every third-party application.
15. Governing Terms
These API Terms supplement Tayzma's Terms of Service. Matters not specifically addressed here are governed by the applicable Terms of Service and any executed agreement between Tayzma and the customer.
